Grassroots Carbon Public Benefit LLC General Terms of service

for the Online Purchase of Carbon Credits


Effective as of August 1, 2024


1. Introduction, Purpose, and Acceptance of the Terms


Grassroots Carbon Public Benefit LLC (“GRC”, “we”, “us”, or “our”) offers the use of an online platform (the “Site”) that provides users with the opportunity to purchase carbon credits on the basis of additional atmospheric carbon stored in the healthy soils in our network of regenerative ranches. Each carbon credit represents the removal of one metric ton of atmospheric carbon dioxide (tCO2) and the storage of this CO2 in grassland soil. The capturing and storage of atmospheric CO2 is based on natural processes based on healthy vegetation and healthy soil. All credits are generated according to the protocols of The Regenerative Standard. By purchasing these credits, you are not only reducing the atmospheric carbon levels, but you also support the regeneration and maintenance of healthy grassland landscapes through verified carbon sequestration practices. Please read these terms of service (the “Terms”) carefully before purchasing any carbon credits. By clicking "I agree" or by making a purchase, you accept these Terms.


2. Restrictions


By purchasing carbon credits from GRC, you confirm that:

  • You are at least eighteen (18) years old.
  • You have the legal authority to enter into these Terms.
  • Payments will be made in US Dollars (USD) via the methods outlined in Clause 4.
  • GRC reserves the right to withhold acceptance of any purchase request. If a request is declined, a full refund will be provided within thirty (30) business days.

 

3. Purchasing Credits


When you purchase carbon credits through the Site, you agree and acknowledge that:

  • You have reviewed the relevant details about the Credits and purchasing terms of service, before making your purchase.
  • You will adhere to the payment terms outlined in Clause 4.
  • Purchased credits are retired shortly after your purchase and are non-transferable and non-refundable.
  • Credits will be obtained from projects selected by GRC within our network of regenerative ranches.
  • GRC will deliver the purchased certified carbon credits in the form of a GRC electronic credit certificate to the credit buyer within a minimum of 3 months and a maximum of 12 months after the purchase date. The GRC electronic credit certificate will display the following information: name and organization of buyer, purchase date, Regenerative Standard certification date, Regenerative Standard certification batch number, and the amount of Regenerative Standard certified credits purchased by the “one-click buyer.”

 

4. Payment Terms


Payments for carbon credits can be made:

  • Online via the Site using credit/debit cards or other third-party payment providers.
  • By direct bank transfer for orders over $5,000. To arrange this, contact us at info@buildgrassroots.com.
  • For direct bank transfers, payments must be received within fifteen (15) business days. If payment is not received within this period, GRC cannot guarantee credit availability and may release the credits back to the market.

 

5. Refunds


All carbon credits purchased from GRC are retired after your purchase and are, therefore, non-refundable.

 

6. Tax Deduction


GRC does not provide tax advice; please consult a tax professional to determine if your purchase qualifies for any deductions.

 

7. Privacy and Data Protection


GRC is committed to protecting your privacy. Personal data collected will be used strictly to fulfill our services. By using our platform, you consent to the collection and use of your data as outlined in our Privacy Policy. Your purchase details will not be shared publicly without your explicit consent, except as required by law.


8. Intellectual Property


All intellectual property rights related to the Site, including trademarks, logos, and content, are owned by GRC. You may use information from our Site to communicate your carbon removal activities as long as proper attribution is given to GRC and the specific project.

 

9. Termination


These Terms apply to each purchase of carbon credits made on the Site. Grassroots Carbon reserves the right to terminate or restrict your access to the Site if you breach these Terms or engage in any fraudulent activity.

 

10. Warranties and Limitations of Liability


Warranty

  • You warrant that you have the legal capacity to enter into these Terms and that all information provided to GRC is accurate and up-to-date.


Liability

  • To the extent permitted by law, GRC disclaims any liability for losses or damages resulting from the purchase or use of carbon credits from our Site. GRC’s total liability for any claims related to the purchase of credits is limited to the amount paid for the credits in the preceding twelve (12) months.


11. Indemnification


You agree to indemnify and hold GRC harmless from any claims, damages, losses, or expenses arising from your breach of these Terms, your use of the site, or any violation of third-party rights.

 

12. Governing Law and Dispute Resolution


Governing Law

  • These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict of laws rules.


Dispute Resolution

  • Any disputes arising from these Terms will be resolved through binding arbitration in Texas, USA. The proceedings will be conducted in English.

 

13. Force Majeure


GRC will not be liable for any failure to perform due to causes beyond our control, such as natural disasters, extreme weather events, acts of war, or government actions.

 

14. Notices


All notices under these Terms must be in writing and delivered via email or registered mail to the appropriate addresses provided by each party.


15. General Provisions

  • You agree to provide accurate information and comply with all applicable laws and regulations.
  • GRC may update these Terms periodically. The most current version will apply to your purchase.
  • If any part of these Terms is found unenforceable, the remaining parts will remain in effect.


16. Definitions

  • Regenerative Standard (or “Standard”) The certification standard applied to generate carbon credits offered by GRC.
  • Carbon Credit: Represents the certified sequestration, according to the Standard, of one metric ton of carbon dioxide (CO2).
  • Retirement: The process by which a carbon credit is permanently removed from circulation.
